1. Purpose
These Terms of Sale (Conditions Générales de Vente, CGV) govern the contractual relationship between IRYS (hereinafter “the Seller”) and any natural or legal person (hereinafter “the Customer”) wishing to purchase a subscription to Rushly, an Adobe Premiere Pro plugin for semantic AI Cleanup and smart clips FR.
Any order implies the Customer's full and complete acceptance of these Terms of Sale. The Customer declares that they have the legal capacity required to enter into a contract.
2. Product
Rushly is a software plugin for Adobe Premiere Pro (compatible with macOS and Windows) sold as a monthly or annual subscription. The subscription gives access to a monthly usage volume (expressed as a number of podcasts and videos processed) determined by the chosen plan; the details of the quotas are set out on the Pricing page of the website.
A free account is offered, with no credit card and no commitment. It entitles the holder, only once per person and per email address, to free credits, the details of which are set out on the Pricing page, with no time limit. The Multicam tool is included at no credit cost.
If the holder of a free account subscribes to a plan, their unused free credits are replaced by the credits of their plan. Credits from purchased packs are kept.
Free trials subscribed before 10 October 2026 remain governed, until they end, by the terms in force when they were subscribed: if the trial is cancelled during the trial period, no charge is made and the trial credits end immediately; as long as the trial has not ended, it can be reactivated from the account area.
Credits purchased separately (credit packs) are not affected by these rules and remain accessible.
3. Prices and payment
Prices are shown on the Pricing page of the website, in euros, excluding VAT if the Seller is not subject to VAT, or including all taxes as indicated. The Seller reserves the right to change its prices at any time; the prices applied are those in force at the time of the order.
Payment is processed exclusively by our provider Stripe Payments Europe Ltd., registered office 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Ireland. Payment data does not pass through the servers of IRYS. Stripe website: https://stripe.com.
Subscriptions renew automatically at each due date. The Customer may cancel at any time from their account area. For a paid subscription, cancellation takes effect at the end of the current period: until then, the Customer keeps access and the credits of their plan. For a trial subscribed before 10 October 2026, Article 2 applies (cancellation and reactivation).
4. Delivery and access
Access to the service is provided immediately after our provider confirms the payment. The Customer's account, created when the order is placed, immediately gives access to the subscribed plan.
The Customer accesses the features by signing in to their account directly from the plugin installed in Adobe Premiere Pro, using their personal credentials. No licence key is provided: access is tied to the account and to the active subscription plan.
5. Legal right of withdrawal
In accordance with Article L221-18 of the French Consumer Code (Code de la consommation), a Customer who is a consumer has a legal period of 14 days from the conclusion of the contract to exercise their right of withdrawal, without having to give any reason for their decision.
To exercise this right, the Customer must notify their decision to hello@rushly-ai.app within that period. The refund is made within 14 days of receipt of the request, using the same means of payment as the one used for the order.
Exception: if the Customer has expressly consented to the immediate performance of the service and has already used a significant part of it, the refund may be adjusted in proportion to the part of the service not yet used, in accordance with Article L221-25 of the French Consumer Code.
6. “Satisfied or your money back” commercial guarantee
Beyond the legal withdrawal period, and without replacing it, IRYS offers a 30-day “satisfied or your money back” commercial guarantee (garantie commerciale) from the date of purchase. If, within that period, the Customer feels they are not editing any faster, they can request a full refund of their subscription by simple email to hello@rushly-ai.app, with no justification and no sales call. This commercial guarantee is in addition to the consumer's legal rights and does not restrict them in any way.
7. Warranty and liability
IRYS undertakes to provide a service that complies with the specifications described on the website. However, given the evolving nature of the software and its dependence on third-party services (Adobe Premiere Pro, external AI models), no absolute guarantee of availability or results can be given.
The Seller cannot be held liable for indirect damages (loss of data, operating loss, loss of opportunity) resulting from the use of, or the inability to use, the service. The Seller's total liability, for all causes combined, is limited to the amount actually paid by the Customer over the last 12 months.
8. Intellectual property
The purchase of a subscription grants the Customer a personal, non-exclusive and non-transferable right to use the Rushly plugin. Any reproduction, modification, distribution, decompilation or reverse engineering of the software is strictly prohibited.
9. Personal data
The Customer's personal data (account, billing, usage) is processed by the Seller as data controller, in accordance with our Privacy policy.
10. Processing of the Customer's content (processor role under the GDPR, sous-traitance RGPD)
The footage (video, audio, transcripts) that the Customer processes through the plugin may contain personal data of third parties (faces, voices, recorded statements). For this data, and in accordance with Article 28 of the GDPR, the parties agree as follows:
- The Customer is the data controller for this data. The Customer warrants that they have a legal basis and have obtained all the necessary authorisations and consents (in particular image rights and the rights of the people filmed) before the processing.
- IRYS acts as a processor and processes this content only on the Customer's instructions, for the sole purpose of performing the requested feature (AI Cleanup, smart clips).
- Duration and deletion: the content is processed on the fly and deleted within 6 hours at most after processing. It is neither stored, nor reused, nor transferred for commercial purposes or for model training.
- Sub-processors: to carry out this processing, the Seller uses AI and infrastructure providers (in particular Anthropic, Google, ElevenLabs, Supabase, Vercel), whose list and locations are set out in the Privacy policy. Transfers outside the EU are governed by Standard Contractual Clauses.
- Security and assistance: the Seller implements appropriate technical and organisational measures and assists the Customer, as far as possible, in responding to requests from data subjects to exercise their rights and in notifying any data breach.
The Customer indemnifies the Seller against any third-party claim resulting from processing carried out without the required authorisations.
11. Affiliate programme
Any person holding a Rushly account, whether subscribed or not (hereinafter “the Affiliate”), has a personal affiliate link in their account area. Using it constitutes acceptance of this article.
Attribution. The link places a cookie on the visitor's device, valid for 60 days. The account created by this visitor during that period (hereinafter “the Referred Customer”) is attached to the Affiliate, permanently; the first link followed prevails. An account that has already benefited from a trial, free credits or a subscription can no longer be attached.
Commission. The Affiliate receives a commission of 25% of the amount excluding taxes actually collected by the Seller on each payment made by the Referred Customer (subscriptions and credit purchases), after discounts and excluding VAT, for as long as the Referred Customer remains subscribed and the programme exists. No commission is due on the Affiliate's own purchases, nor in the event of self-referral (same person, same email address or same means of payment).
Validation and payout. Each commission is validated 30 days after the corresponding payment. A refunded payment reduces the commission in proportion to the amount refunded; a disputed payment cancels it entirely. If it had already been paid out, the difference is deducted from subsequent payouts; as long as the validated balance is negative, no payout is made. Validated commissions are paid out every month, automatically, by bank transfer via Stripe to the bank account that the Affiliate has connected from their account area, once their total reaches €50; below that amount, they are carried over. Connecting this account requires completing the identity verification hosted by Stripe (Stripe Connect) and accepting the Stripe terms applicable to connected accounts; the Seller has no access to the bank details. Until this verification is completed, validated commissions remain earned and are paid out in the first following month. Payouts are only possible to an account located in a country where Stripe allows it (European Economic Area, Switzerland, United Kingdom, United States, Canada). The fees charged by Stripe for these payouts are borne by the Seller, except for any conversion into another currency. Amounts are expressed and paid out in euros.
Promotion rules. The following are prohibited: spam and any unsolicited message, false or misleading claims about Rushly, distributing unofficial discount codes, buying keywords or ads containing the “Rushly” brand (or a close variant) on paid advertising networks, and any presentation suggesting that the Affiliate acts on behalf of the Seller. In the event of a breach or fraud, the Seller may refuse or cancel the commissions concerned and close the Affiliate's access to the programme.
Status and taxes. The Affiliate acts completely independently; the programme creates no employment contract, agency (mandat) or partnership between the parties. The Affiliate is solely responsible for declaring and paying the taxes, duties and social contributions due on their commissions. The Seller may ask the Affiliate for the information needed for its own reporting obligations.
Changes. The Seller may change the terms of the programme or end it, by notifying Affiliates by email at least 30 days in advance. Commissions arising from payments collected before the effective date remain due under the terms in force at the time of payment.
12. Disputes and applicable law
These Terms of Sale are governed by French law. In the event of a dispute, the parties will try to find an amicable solution.
In accordance with Articles L611-1 et seq. of the French Consumer Code, a Customer who is a consumer may use, free of charge, the consumer mediator (médiateur de la consommation) with a view to the amicable resolution of the dispute. Failing an amicable resolution, the French courts shall have sole jurisdiction.
The Customer may also refer the matter to the European online dispute resolution platform: https://ec.europa.eu/consumers/odr.
